Libretto Agreement to this License
By using, copying, transmitting, distributing, or installing Agent 77's Libretto: Sensible HR, you agree to all of the terms of this agreement ("License"). Please read carefully the license terms below. If you do not agree to all of the terms of this License, then you may not use, copy, transmit, distribute, or install Libretto: Sensible HR or any associated materials.
Scope of License
Libretto: Sensible HR and its contents are copyrighted materials and are neither free nor public domain software or materials. Subject to the terms below, you are hereby licensed by Agent 77, Inc. ("Agent 77") to use one copy of Libretto: Sensible HR, on one (1) computer or workstation; provided, however, that you are authorized to additional copies for use within your offices located at the same premises only. You agree that use of this software or materials, except as authorized in the previous sentence, shall result in remuneration by you to Agent 77 of additional registration fees as determined by Agent 77. Payments must be in US dollars drawn on a US bank, and should be sent to Agent 77, Inc., P.O. Box 19230, Minneapolis, MN 55419-0230, USA. You are specifically prohibited from receiving payment in any manner for this original software or any copies, however made, and from distributing such software, associated materials or copies of same without prior written permission from Agent 77.
All rights of any kind in Libretto: Sensible HR which are not expressly granted in this License are entirely and exclusively reserved to and by Agent 77. You may not sell or offer for sale, rent, lease, modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on Libretto: Sensible HR or associated materials. You may not make access to Libretto: Sensible HR available to others in connection with a service bureau, application service provider, or similar business.
Warranty Disclaimers and Liability Limitations
Libretto: Sensible HR, and any and all accompanying software, manuals, files, data and materials, are distributed and provided "AS IS" and with no warranties of any kind, whether express or implied, except where such limitations are expressly prohibited by law. You acknowledge that good data processing procedure dictates that any program, including Libretto: Sensible HR, must be thoroughly tested with non-critical data before you rely on it, and you hereby assume the entire risk of using the program. This disclaimer of warranty constitutes an essential part of this License.
Any liability of Agent 77 will be limited exclusively to replacement or refund of purchase price, if any, at the sole discretion of Agent 77. In addition, in no event shall Agent 77, or its principals, shareholders, officers, employees, affiliates, contractors, subsidiaries, or parent organizations, be liable for any indirect, incidental, consequential, or punitive damages whatsoever relating to the use of Libretto: Sensible HR, or to your relationship with Agent 77.
In addition, in no event does Agent 77 authorize you to use Libretto: Sensible HR in applications or systems where Libretto: Sensible HR's failure to perform can reasonably be expected to result in a significant physical injury, or in loss of life. Any such use by you is entirely at your own risk, and you agree to hold Agent 77 harmless from any and all claims or losses relating to such unauthorized use.
It is understood and agreed to by you that Agent 77's Libretto: Sensible HR it not intended to, nor does it constitute, legal advice, opinion or authority in any manner. The opinions and advice expressed by Libretto: Sensible HR and Agent 77, if any, are based upon lay interpretation of the current applicable laws and regulations, but do not constitute the opinion of legal authority or professionals. You agree that you will not rely on any information, opinion or advice of Libretto: Sensible HR or Agent 77 as legal authority or from a legal professional, and agree to hold Agent 77 harmless for any such reliance. For legal advice, opinion or authority, please consult an attorney.
General
This License is the complete statement of the agreement between the parties on the subject matter, and merges and supersedes all other or prior understandings, purchase orders, agreements and arrangements. This License and all Warranty disclaimers and Liability Limitations, shall be governed by the laws of the State of Minnesota, without regard to Minnesota choice-of-law rules. Exclusive jurisdiction and venue for all matters relating to this License shall be in courts located in the State of Minnesota, and you consent to such jurisdiction and venue. There are no third party beneficiaries of any promises, obligations or representations made by Agent 77 herein. Any waiver by Agent 77 of any violation of this License by you shall not constitute or contribute to a waiver of any other or future violation by you of the same provision, or any other provision, of this License.
